Legal Counsel– Corporate Governance&Capital Markets (m/f/d), Jenbach

At INNIO, we are looking for an experienced (2 years +) and highly motivated Legal Counsel to strengthen our Corporate Governance&Capital Markets team. INNIOGroup is a global distributed energy solutions provider that delivers reliable, flexible, transient, decentralized, modular and efficient power. The company delivers power for applications including data centers, microgrids, grid stabilization, industrial energy and gas compression. INNIO, headquartered in Munich, is planning to list on the Nasdaq stock market in 2026. Tosupport INNIO in regulatory compliance and corporate governance matter relating to its US stock market listing, we intend to expand our legal team to include a lawyer or paralegal with relevant experience, preferably through work in the securities / capital markets team of a major law firm, securities firm or US listed company. Our legal team is located primarily in Munich/Germany, Jenbach/Austria and Houston/US. The position would be intended to be located in Munich, but we would also accommodate for candidates with a preference for Jenbach. In this role, you will support a wide range of capital markets and securities laws related matters. You will work closely with internal stakeholders and external counsel to help ensure compliance, maintain high-quality legal documentation, and support governance and reporting processes. Your Responsibilities

Manage all legal tasks related to INNIO’s listing on Nasdaq, including regulatory filings and approvals, in close alignment with the group’s General Counsel.

Support regulatory filings by the company, its shareholders and management.

Advise the company’ internal processes, including its Board of Directors, board committees and disclosure committee, on matters of US securities laws.

Support corporate governance and legal entity management activities across multiple jurisdictions, with a particular focus on the US and Canada.

Your Profile

Formal qualification in

Law, Business Law, Business Administration , or a comparable field, either in the United States/Canada or the EU.

Relevant experience as a

Lawyer or Paralegal

(2 years +), ideally in the securities / capital markets team of a major law firm, securities firm or US listed company.

Good knowledge of

regulatory processes , corporate governance, legal entity management, and corporate documentation.

Strong organizational and drafting skills, with a high level of accuracy and attention to detail.

Professional, reliable, and discreet, with strong communication skills and the ability to work effectively in an international environment.

Fluent in

English , both written and spoken; German is a strong plus.
